• Accountable for end to end contracting which includes drafting, review, negotiation and execution of IT/BPM contracts with company’s clients and coordinating with various departments, including the business, finance and delivery teams for commercial and technology agreements of the US and Canada region including Master Service Agreements (M.S.A.s), Letter of Engagement (L.O.E.s), Letter of Intention (L.O.I.s), Teaming or Alliance and Software Licensing Agreements• Dexterously managing and closing Request for Information (R.F.I.s) and Request for Proposal (R.F.P.s) by working in coordination with various business teams of the company by preparing responses on the contract terms and articulating the legal and business risks involved therein• Handles vetting, reviewing & advising on contractual documents for Operations, Sales, Admin and IT departments of WNS and its global Group companies with their suppliers, strategic alliance partners and business partners in various industries• Responsible for drafting and vetting of commercial documents such as Non-Disclosure Agreements (N.D.A.s), Statement of Work (S.O.W.s) and Change Order Forms (C.O.F.s)• Researching and providing legal opinions relating to applicability of various laws for industries like Insurance, Banking, Technology, Healthcare, etc. across the globe • Developing appropriate legal guidelines, standard contract terms, templates & training programs to ensure the business conducted as per laws & legal regulations. Amending the draft agreements to ensure the same in compliance with statutory needs• Assisting with the negotiations on the liability cap and other vital clauses in Data Protection Agreements (D.P.A.s) in line with the GDPR.

1. Handled drafting, review and negotiations of the agreements and addendums related to E-commerce Logistics (B2C), Cargo Delivery Services (B2B), Warehousing, Leave and License, Co-Loading, Transportation, Manpower, Employment, Cross border Freight Forwarding and Non-disclosure with company’s clients; 2. Responsible for negotiation and execution of legal documents with various legal counsels and law firm associates of various Service Providers / Lessors of company; 3. Initiated and processed civil, criminal and Insolvency proceedings against the clients and service providers for the recovery; 4. Carried out legal due diligence and audits by researching on the applicable laws, drawing out the compliances under the applicable laws and checking the level of compliance and advising the client on matters concerning the same5. Developed and reviewed employment-related documents such as employee employment agreements, handbook, policies such as POSH, Employee Standing Orders, data privacy, privacy policies, etc.

Legal and Secretarial: • Drafting and vetting of various agreements like Lease Agreements, Leave and License Agreements, Service Agreements, Non-disclosure Agreement, Manpower, Human Resource Consultancy Agreements, Consultants Agreements and other legal documents like POA, affidavits, Indemnity Bond, Letter of Authority, Renewal & Termination Letters etc.• Preparing board and committee meeting agendas and minutes of the listed and the private limited companies • Convening and conducting of Board and Annual General Meetings of the listed and private limited companies• Preparing and filing with the Stock Exchanges and the ROC, all the applicable forms and annual returns of the Company• Maintenance of all statutory Records and Registers
