Chief Legal Officer of Middlesex Water Company, a 128-year old New Jersey-based publicly-traded (NASDAQ: MSEX) public utility company providing regulated and unregulated water and wastewater services primarily in New Jersey and Delaware.As Vice President, serve on the Executive Leadership Team of Middlesex Water Company and participate in decision-making at the highest levels of the Company.As General Counsel, lead and direct all legal affairs of Middlesex Water Company and its subsidiary companies including all rate cases and regulatory proceedings before state utility commissions, outside litigations in federal and state court and all corporate transactions.As Corporate Secretary, lead all coordination with the Middlesex Water Company Board of Directors as the Company’s chief liaison to the Board, record the minutes of all Board and Committee meetings, ensure compliance with the Company’s Articles of Incorporation and By-Laws, and ensure the preservation of all corporate records and maintenance of the corporate seals of Middlesex Water Company and its subsidiary companies.Lead the Company’s Enterprise Risk Management program and ensure the Company’s legal and regulatory compliance with all SEC and NASDAQ corporate governance requirements and Environmental Social and Governance (ESG) protocols.Achievements include creation and fostering of a legal culture that emphasizes quality control, risk mitigation and doing right by the constituencies we serve and work with – customers, investors and regulators. Creation of an in-house legal department that employs and mirrors this culture while maintaining best-in-class regulatory relations with state public utility commissions.

Led Hess Corporation’s energy regulatory advocacy in rate cases, market structure and other regulatory proceedings and litigations before 17 state public utility commissions within the Mid-Atlantic, New England and Midwestern regions and FERC, and before 17 state legislatures. Achievements included successful resolution of state utility commission regulatory proceedings that opened retail energy markets to competition, successful passage of state legislation to open and enhance competitive retail energy markets across the Eastern United States, and prevention of legislation that sought to eliminate competitive energy markets. Enabled Hess Corporation to enter and profit in retail energy markets for a decade under favorable state regulations.

Counseled, advocated and achieved favorable results for incumbent New Jersey public utility companies (electric, gas, water, wastewater, telephone and cable) in rate cases, regulatory proceedings, merger and acquisition proceedings and other litigations before the New Jersey Board of Public Utilities, New Jersey Office of Administrative Law, FERC, FCC and federal and state courts.

Led the City of New York’s advocacy in electric, gas and steam rate case and regulatory litigations before the New York Public Service Commission and FERC involving the regulated public utilities located within the City’s geographic footprint (Con Edison and KeySpan). Obtained favorable rate results and allocations of economic development power for the City and its Economic Development Corporation.
